Please read these Terms of Service (these “Terms”) to learn the rules and restrictions that govern your use of the services, features and functionalities we provide to you, or otherwise make available, through uma.money, including an Account (defined below) (collectively, the “Services”). These Terms are a binding contract between you and Lightspark Group, Inc. (“Lightspark”, “we”, and “us”). These Terms are entered into between you and Lightspark when you agree to them when you create an Account and these Terms will remain in full force and effect until terminated in accordance with the section below entitled “Termination, Suspension and Cancellation”. If you do not agree with any of the provisions of these Terms, you may not use our Website (defined below), Services and/or an Account.
Changes to these Terms. The date at the top of this page indicates when these Terms were last updated. As necessary, we may update these Terms from time to time to reflect changes to the Website and/or Services, or to comply with legal requirements and we will provide you with notice of this via email, as may be required under applicable laws. If you do not agree to our changes, you must discontinue your use of the Website and Services. Your continued use of the Website and/or Services after the changes take effect, amounts to your acceptance of the updated Terms.

These Terms are in addition to the terms and conditions included in the Terms of Use that generally apply in connection with your use of our website, and uma.money (including its subpages and subdomains (including app.uma.money), the “Website”). Such terms and conditions are incorporated herein by reference and are entered into between you and Lightspark when you agree to them by creating an Account or by accessing the Services and/or Website. In the event of any conflict between these Terms and the Terms of Use, these Terms will govern in relation to your use of the Services. Capitalized terms used but not defined herein have the meaning given to them in the Terms of Use.
Please read these Terms carefully. They cover important information about the Services and related areas of the Website. PLEASE NOTE THAT YOUR USE OF AND ACCESS TO THE SERVICES AND RELATED AREAS OF THE WEBSITE ARE SUBJECT TO THE FOLLOWING TERMS; IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT USE OR ACCESS ANY SERVICES OR ANY RELATED AREAS OF THE WEBSITE IN ANY MANNER.
Creating, Managing and Using Your UMA Account
What is an UMA Account? An account on uma.money (or its predecessor website, uma.me) (an “Account”) lets you create and manage a universal money address (an “UMA Address”) and link it to your bank account. You can use this UMA Address to send and receive funds through third-party service providers that support Lightning Network transactions and receive payments in your linked bank account from senders with UMA-enabled wallets.
Lightspark has partnered with certain financial institutions and virtual asset service providers (“VASPs”) that provide digital asset and payment services (“Digital Asset/Payment Services Providers”) so that you can use your UMA Address to send and receive these payments. To use your UMA Address to send or receive payments, you will need to establish a separate account relationship with a Digital Asset/Payment Services Provider so that you can use your UMA Address to send and receive these payments. You will also need to link a third-party bank account to your UMA Address through your Account to receive UMA-related payments in that bank account. Please see below for specific terms that apply to your use of the Services in connection with Digital Asset/Payment Services Providers.
You understand that Lightspark is only providing you with an UMA Address and the ability to link that UMA Address to a bank account. Lightspark has no control over the transactions conducted using your UMA Address or the actions of other users, the Digital Asset/Payment Service Providers, including actions that could delay or prevent your funds from being sent or delivered to the intended recipient. We encourage you to read the terms and conditions and privacy policy of your Digital Asset/Payment Services Provider, which should be made available to you by that Digital Asset/Payment Services Provider. If you utilize Striga as a Digital Asset/Payment Service Provider, its terms of service and privacy policy are available in the “Striga Terms” section below. Creating and protecting your Account. To create an Account, and access certain related areas or features of the Website or the Services, you will be required to onboard with and otherwise provide certain information to us and our partners. You may choose not to provide such information, but then you will not be able to create or use an Account or access certain areas or features of the Website or Services. To create an UMA Address, you must first onboard as a customer of a Digital Asset/Payment Services Provider. Availability of these partners will depend on a variety of factors, including the jurisdiction in which you are located and legal and regulatory requirements applicable to each Digital Asset/Payment Services Provider. Once onboarded, you will then create your UMA Address (discussed below) and link that UMA Address, using a third-party service (such as a Digital Asset/Payment Services Provider), to your bank account. You are responsible for all information you provide, and it is a condition of your use of any Services (and any related areas of the Website) that all the information you provide to us and our partners (including in connection with the creation of your Account) is correct, current, and complete.
To create an Account, you must be at least 18 years old (or the age of majority in your state or country of residence) and use a cellular/wireless telephone number that you own. You may not create an Account with a landline phone number, Google Voice number, or Voice over Internet Protocol (VOIP). We and our partners may collect certain identifying information from you, as detailed further in our Privacy Policy. Because you are also establishing an account relationship with one of our Digital Asset/Payment Services Provider partners, such Digital Asset/Payment Services Providers may need to conduct their KYC process and may need to verify your identity. Until you complete this onboarding process, you will not be able to send or receive money using your UMA Address.
Creating your UMA Address: UMA Addresses are generally claimed on a first-come, first-serve basis. If you try to select an UMA Address that has already been claimed, you will be directed to select a different one. You may only change your UMA Address a maximum of two times. Your ability to change your UMA Address is subject to availability and your compliance with these Terms.
Restrictions when creating or using your UMA Address: You may not create or use an UMA Address:
- on behalf of, affiliated with, or impersonating another person or organization without their express consent;
- using false information, such as a name or other details which do not belong to you;
- using a temporary email address or phone number;
- in a fraudulent, deceptive, misleading, defamatory, or obscene manner;
- which promotes discrimination, bigotry, hatred, harassment or harm against any individual, group, or protected class, such as race, religion, gender, orientation, or disability, or promotes illegal or harmful activities;
- which infringes or violates the intellectual property, contractual, publicity, privacy or other rights of anyone else (including Lightspark);
- which violates applicable laws or these Terms in any manner; or
- involves UMA Address squatting, selling, buying, transferring or soliciting forms of payment in exchange for UMA Addresses or Accounts.
If you create or use an UMA Address that violates these Terms in any way, or if we otherwise deem a change to your UMA Address to be necessary to protect Lightspark, its users or business partners, in each case as determined by Lightspark in its sole discretion, we may change your UMA Address or ask you to change your UMA Address, and you will not be able to use your Account until such change is made. We further reserve the right, in our sole discretion, to change or require that you change your UMA address, and/or to suspend, disable, limit or terminate your Account or reclaim or make unavailable your UMA Address for any reason.
Access to Accounts is password-protected. You may not attempt to access any password-protected aspects of the Services (including your Account) and related areas of the Website without authorization. If you have been issued a password for an Account, you agree that Lightspark has granted you limited access to specific Content pertaining to products and services relevant to you, and you agree not to attempt to access other Content. All information that Lightspark provides to users supplying a password is confidential and intended solely for the information of its intended recipient. Lightspark has implemented robust security measures to protect customer passwords, including encryption of passwords at rest using industry-standard cryptographic algorithms, secure storage in a protected database, and strict access controls to ensure that only authorized employees can access sensitive systems.
You are solely responsible for maintaining the confidentiality of your passwords, Account information, UMA Address, usernames and security questions and answers relating to your Account, for logging off your Account and any other protected aspects of the Services (or related areas of the Website) when you finish a session, and for restricting access to your computers and devices. Accordingly, you should protect the confidentiality of the foregoing, and you hereby agree to notify Lightspark immediately if you become aware of any unauthorized access to, or use of, your UMA Address or Account (including your username or password). If you choose to share these details with a third party, you assume all responsibility for such third party’s activity related to the Services (including your Account) and any related areas of the Website. If you believe your Account login information has been compromised, lost or stolen, please contact Lightspark customer service immediately at fraud@uma.money
Link or unlink a bank account.You can link or unlink a bank account to your Account. Please keep your bank account information current. If your bank account information is incorrect or not current, you may not be able to send or receive payments using your UMA Address. You hereby represent that you have the authority to authorize transactions for the linked bank account, and you are the authorized holder of the bank account associated with your UMA address.
Termination, Suspension or Cancellation
These Terms will remain in full force and effect while you use or access our Website, Services, an Account or UMA Address, unless terminated in accordance with this section.
Termination or cancellation by you. You may stop using the Website, our Services, close your Account and UMA Address at any time, at which point these Terms will terminate. However, certain provisions of the Terms will, by their nature, apply even when you no longer use or access our Website, Services, your Account or UMA Address (see the “Survival” section below).
In certain cases, you may not be allowed to close your Account, including:
- where this is suspected to be, or is done in order to evade an investigation by us, a third party or a regulatory authority;
- if there is an open dispute or claim;
- if your Account is subject to a hold, limitation or reserve; or
- if we determine that there is another outstanding issue that warrants further need
Termination or cancellation by us. We may terminate these Terms (and therefore your right to access or use the Services, an Account or an UMA Address) immediately, usually by notifying you via email unless there are serious grounds for termination which mean that we cannot provide notice, if:
- you have violated any provision of these Terms in a serious or repeated manner, including by breaching any of the restrictions in the “Restrictions” section above;
- if we reasonably believe that you are using (or are allowing someone else to use) the Services, your Account or your UMA Address in breach of any applicable laws, rules or regulations, or in furtherance of illegal, fraudulent or prohibited activities; or
- if we are required to do so by any law, regulation, court order or instruction from an ombudsman, regulator or government body.
We may also terminate these Terms without cause, including if we decide to cease providing the Website and/or Services, by providing prior written notice to you via email.
Survival: Upon termination of these Terms for any reason:
- the sections from (and including) “Intellectual Property” to “Governing Law and Jurisdiction” will survive termination: and
- you must immediately cease use of the Services, any Account and/or UMA Address.
Suspending, disabling, limiting or placing a hold on Accounts: We may also suspend, disable, limit or place a hold on your Account in the scenarios listed below and will provide you with notice, unless we are prohibited from doing so under applicable laws:
- if you have not logged into your Account for two or more years;
- if we are reasonably required to do so to protect the security and integrity of the Services and the Lightning Network;
- if we are reasonably required to place restrictions on, or limit access to, your Account until you have verified your identity as part of any review of suspicious, illegal or non-compliant Account activity (which we may conduct at any time, including in coordination with the Digital Asset/Payment Services Provider partners)Please note, our reviews may result in:
- delayed, blocked or canceled transfers;
- money or payments being held by the relevant Digital Asset/Payment Services Providers;
- Account suspension, disablement, limitation or termination;
- money or payments being transmitted or processed through a Digital Asset/Payment Services Provider being seized to comply with a court order, warrant or other legal process; or
- money or payments you previously received being reversed by a Digital Asset/Payment Services Provider (i.e., sent back to the sender or to the bank account that was used to fund the payment).
- if you knowingly or unknowingly were a participant in a payment that was made from a compromised bank account or compromised Account;
- if we are otherwise required to place a hold on your Account, including in coordination with the Digital Asset/Payment Services Provider, based on confidential criteria that are essential to our management of risk and the protection of Lightspark, our users or our service providers or partners. In such scenarios, we may be restricted by regulation or a governmental authority from disclosing certain information to you about such decisions. We have no obligation to disclose the details of our risk management or security procedures to you.
- if we are required to place limitations on your Account, including in coordination with the Digital Asset/Payment Services Provider, to help protect Lightspark and our users when we notice restricted or prohibited activities or activity that appears to us as unusual or suspicious, for example:
- if we suspect someone could be using your Account without your knowledge, in which case we’ll limit it for your protection and look into the unusual activity;
- a Digital Asset/Payment Services Provider alerts us that someone has used your linked bank account without permission;
- in order to comply with law; or
- if we believe, in our opinion, that you have breached these Terms, and
- if we are notified of a court order or other legal process (including garnishment or any equivalent process) affecting you, or if we otherwise believe we are required to do so in order to comply with applicable law or regulatory requirements, we may be required to take certain actions, including placing a hold or limitation on your Account. We will decide, in our sole discretion, what action is required of us. We do not have an obligation to contest or appeal any court order or legal process involving you or your Account.
You will need to resolve any issues with your Account, and potentially any issues with your account with a Digital Asset/Payment Services Provider, before any of the above restrictions can be removed. In some cases, account suspension/limitation is at the sole discretion of the Digital Asset/Payment Services Provider.
Account Statements and Data
We may provide you with transaction receipts at the email address or phone number you provide for your Account. We may also provide you with the ability to view transaction history, including transaction receipts and transaction history for payments involving your UMA address, by logging into your Account. Any transaction information that we may provide in your Account or otherwise make available to you (e.g., by email) is not generated or controlled by Lightspark, but instead by the Digital Asset/Payment Services Provider that is providing you with UMA-related transactions services.
What About Messaging?
As part of the Services (including in connection with your Account), you may receive communications through the Services or the Website, including messages that we send you (for example, via email or text message) containing operational and/or functional updates, such as confirmation of transactions or other updates relevant to you. We will only send you marketing communications where you have opted-in to receive such marketing messages via email and/or text. You can unsubscribe from marketing messages at any time by clicking the “unsubscribe” button at the end of any emails we send you or responding with STOP to any texts we send you.
Intellectual Property
All intellectual property rights in the Services, Website, Lightning Network and any related software, documentation, services, products or content provided by Lightspark are owned by Lightspark or its licensors (as applicable). Nothing in these Terms transfers any ownership rights in the intellectual property to you or grants you any right to use Lightspark’s intellectual property except as expressly provided in these Terms.
Disclaimers
It is your responsibility to check whether the Services, an Account and/or UMA Address meet your purposes or needs. We do not promise or guarantee that the Services, any Account or UMA Address will fulfil any particular purposes or needs that you may have.
Except for the descriptions set out in these Terms and any other documents we have provided to you, we do not promise or guarantee that the Services, any Account or UMA Address will meet any specific requirements or specifications.
While we will use care and skill to keep the Website and/or Services online and Accounts and UMA Addresses functioning, we do not promise or guarantee that the Website, Services, any Account or UMA Address will be uninterrupted or always accessible. We do not accept liability for any losses you may suffer due to such interruptions or inaccessibility. We will use commercially reasonable efforts to notify you in advance where possible of any planned or unplanned maintenance to the Services or any outages.
Please note, Lightspark does not at any time:
- provide a deposit or other financial account or other financial or transaction services;
- act as an escrow agent with respect to any money sent to you on uma.me;
- act as your agent or trustee;
- guarantee the identity of any uma.money user;
- determine if you are liable for any taxes; or
- collect or pay any taxes that may arise from use of any Services.
Liability
This section limits the liability that we accept, and the types of damages that you may be able to recover from us. Please read it carefully.
We don’t exclude or restrict our liability in any way that would be unlawful (including our liability for any death or personal injury caused by our negligence, or for any fraud or fraudulent misrepresentation by us, our employees or directors). The exclusions and limitations below are all subject to this statement. References to liability in this section include every kind of liability arising under or in connection with these Terms, including liability in contract, tort (including negligence), or otherwise.
We are not responsible and do not accept liability for loss or damage that is not ‘foreseeable’. Loss or damage is ‘foreseeable’ if either it is obvious that it will happen or if, at the time you agree to these Terms, both you and we are aware that it might occur.
We are not liable to you for any failure to perform our responsibilities:
- due to any abnormal or unforeseeable event outside our reasonable control (including but not limited to acts of terrorism, significant weather-related events such as major floods, general strikes, general internet outages, or epidemics or pandemics) and despite us having taken reasonable precautions against such events; or
- where performing our responsibilities would put us in breach of applicable law (e.g., where we have reasonable grounds to suspect that the Website, Services, an Account or UMA Address are being used for fraud).
We do not accept liability for losses you may suffer if you do not meet the applicable requirements to obtain an Account or UMA Address, or are unable to pay any transaction fees or other fees to a Digital Asset/Payment Services Provider or other third party.
Subject to the foregoing, Lightspark’s total liability to you arising from or in connection with these Terms shall not exceed one thousand euros (EUR 1000). We encourage you to check and inform us, to the best of your ability, of any issues or problems at the earliest opportunity and take prompt action as soon as you become aware of any problem.
Striga Terms
Striga: Terms of Service and Privacy Policy (the “Striga Terms”)
You may use your UMA Address with Striga to provision a virtual asset wallet/account and receive virtual asset exchange and transfer services from Striga, or to be issued a virtual IBAN (vIBAN) for fiat currency pay-ins and pay-outs from Striga (the “Striga Services”). The Striga Services are made available by Striga Technology AS (registry code: 16298772), address: Pärnu mnt 110, Tallinn, Estonia (“Striga”) in accordance with the Striga Terms.

Other
- Prevailing Language. The English language version of these Terms will be the binding version. In the event of any discrepancy between the English language version of these Terms and any foreign language translation, the English version prevails. Any other language versions of these Terms are provided for convenience only.
- Severability. If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
- Entire Agreement. These Terms, the Privacy Policy and the Terms of Use (together the “Agreement”) constitute the entire agreement between you and Lightspark regarding your use of our Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our Services. You and Lightspark acknowledge that in entering into these Terms, you and/or Lightspark do not rely on any statement, representation, warranty or understanding other than those expressly set out in these Terms.
- Assignment. The Services, Account and UMA Address are personal to you, and you must not assign your rights or transfer your responsibilities under these Terms to anyone without our prior written consent. This is necessary, including for reasons relating to our compliance with applicable law. We may delegate our responsibilities under these Terms, to any third party that is capable of performing these Terms competently and in accordance with these Terms, our Privacy Policy and applicable law. We may assign our rights under these Terms to another business without your consent, but we will notify you of the assignment and ensure that you are not adversely affected as a result.
- Waiver. Our failure to assert a right or provision under these Terms will not constitute a waiver of such right or provision.
- Headings. Any heading, caption, or section title contained is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.
